Change of Depositary

Public Joint Stock Company "TransContainer" (LSE: TRCN), a leading Russian intermodal container transportation company ("TransContainer" or the "Company"), announces that The Bank of New York Mellon has replaced BNY Mellon (Cyprus) Nominees Limited as the Company's depositary for the global depositary receipts (the "GDRs") representing registered ordinary shares of TransContainer, effective from16 December 2015.

This change took effect upon the novation of the Deposit Agreement between the Company and BNY Mellon (Cyprus) Nominees Limited, dated 15 September 2010 (the "Deposit Agreement'). Pursuant to the novation, The Bank of New York Mellon has assumed all rights and obligations of BNY Mellon (Cyprus) Nominees Limited under the Deposit Agreement as if The Bank of New York Mellon was originally a party to the Deposit Agreement.

Notice with respect to the aforesaid has been duly given by BNY Mellon (Cyprus) Nominees Limited to all holders of GDRs. Copies of the amended Deposit Agreement are on file at the principal administrative offices of the Depositary, which are located at 101 Barclay Street, New York, New York 10286.
