Notice of decisions of the Board of Directors

On 17 February 2017, the Board of Directors of PJSC TransContainer (TRCN) (the "Company") passed the following resolutions: 

1. To appoint Mr. Andrey Starkov as Chairman of the Board of Directors of PJSC TransContainer and Mr. Alexander Panchenko as Deputy Chairman of the Board of Directors of PJSC TransContainer.

2. To appoint Ms. Kristina Galkina as the Company's corporate secretary.

3. To nominate Mr. Richard Werner, Mr. Peter O'Brien and Ms. Irina Shytkina as the Board's Independent Directors and to elect Ms. Irina Shytkina as senior independent director.

4. To elect the Strategy Committee of the Board of Directors comprising the following members:

-    Mr. Peter Baskakov

-    Mr. Andrey Tonkikh

-    Mr. Richard Werner

-    Mr. Sergey Tugarinov

-    Ms Leila Mammed Zade 

-    Mr. Yuri Novozhilov  

-    Mr. Sergey Kust¹

To elect Mr. Sergey Tugarinov as Chairman of the Strategy Committee.

5. To elect the Audit Committee of the Board of Directors comprising the following members:

-    Mr. Irina Shytkina

-    Ms. Irina Kostenets

-    Mr. Alexander Panchenko

-    Mr. Peter O'Brien

-    Mr. Richard Werner

To elect Mr. Richard Werner as Chairman of the Audit Committee. 

6. To elect the Personnel and Remuneration Committee of the Board of Directors comprising the following members:

-    Ms. Irina Kostenets

-    Mr. Peter O'Brien

-    Ms. Irina Shytkina

-    Mr. Richard Werner

-    Ms. Leila Mammed Zade

To elect Ms. Irina Shytkina as the Chairperson of the Personnel and Remuneration Committee.

7. To approve the establishment of TransContainer Freight Forwarding (Shanghai) Co., Ltd., an 100% subsidiary of Transcontainer in Shanghai, China.
