The Annual General Meeting of Shareholders of OJSC TransContainer was held on 27 June in Moscow, with the minutes signed on 11 July. The following decisions were taken at the meeting:

1. To introduce amendments and addenda to the Company’s Articles of Association;
2. To approve the Company’s annual report for 2007;
3. To approve the annual financial statements;
4. To distribute profits for 2007;
5. To pay dividends for 2007 in the amount of 11.03 roubles per common share in cash by 26 August 2008;
6. To pay members of the Board of Directors their annual fee;
7. To pay members of the Audit Committee additional compensation;
8. To approve the auditing form CJSC BDO UNICON as OJSC TransContainer’s auditor;
9. To elect the following persons to OJSC TransContainer’s Board of Directors:
   1. Alexei Alexandrovich Averin;
   2. Petr Vasilevich Baskakov;
   3. Maxim Stanislavovich Liksutov;
   4. Dmitry Konstantinovich Novikov;
   5. Yuri Viktorovich Novozhilov;
   6. Gleb Mikhailovich Fedulov;
   7. Genna Lozovsky;
   8. David Hexter;
   9. Zhanar Rymzhanov.
10. To elect the following persons to OJSC TransContainer’s Audit Committee
11. To approve the conclusion of an underwriting agreement between OJSC TransContainer (the “Company”), OJSC RZhD and the underwriting banks as an interested-party transaction and simultaneously a major transaction, on the usual terms for transactions involving an international share offering.

In 2007, TransContainer transported 1.3 million TEU on its own fitting platforms. Of this amount, 0.83 million TEU were transported within the country, with 0.48 million TEU transported internationally.

1.9 million TEU was processed at the company’s terminals last year.

OJSC TransContainer’s earnings from its principal activities in 2007 came to 13.4 billion roubles, and its net profits to 1.5 billion roubles.
