General Conditions for rendering transport and forwarding services in arranging sale of services via the website of PJSC TransContainer

1.    BASIC TERMS AND DEFINITIONS

These General Conditions of TFS are applied when selling services via the website of PJSC TransContainer.

The following terms and definitions are used in these General Conditions of TFS:

TransContainer - Public Joint Stock Company "Center for Cargo Container Traffic "TransContainer" (including branches and other units), rendering and/or arranging freight forwarding and other services related to cargo transportation designated by the Client.

Full company name in Russian is «Центр по перевозке грузов в контейнерах «ТрансКонтейнер».

Short company name in Russian: 
ПАО «ТрансКонтейнер».

Full company name in English: Public Joint Stock Company "Center for cargo container traffic "TransContainer".

Short company name in English: PJSC "TransContainer".

Client means any individual or entity, resident in the Russian Federation who has entered into a transport forwarding agreement with TransContainer via the website of TransContainer in the manner provided for in Section 3 of these General Conditions of TFS.

As a Client, these General Terms and Conditions of TFS shall also regard the Client's Representatives:

Representative of the Client is a person appointed by the Client in the Order as the consignor and/or consignee or other person authorized to perform actions specified in the terms of the transport forwarding agreement on behalf of the Client by virtue of the power of attorney. Representative of the Client being an entity also means entity's officials entitled to act on behalf of this entity without a power of attorney in accordance with the documents of incorporation.

The power of attorney issued by the Client to his representative shall comply with the norms of the legislation of the Russian Federation and contain a detailed list of actions, which the representative is authorized to perform.

TransContainer considers powers of attorney, as well as other documents and information received from the Client in accordance with the Transport forwarding agreement, as authentic, genuine, received and/or issued in accordance with the Legislation.

Parties - TransContainer and the Client who entered into the Transport forwarding agreement.

Agreement is an agreement between TransContainer and the Client entered into via the website of TransContainer in accordance with the procedure provided for in Section 3 of these General Conditions of TFS, pursuant to which TransContainer, for a fee, assumes the obligation to provide and/or arrange the Services, associated with cargo transportation designated by the Client (based on the Order). The term "Agreement" means all documents in general that define the conditions for the provision of the Services: General and Commercial Conditions of TFS, Order.

The agreement is entered into by the Client for each transportation.

General and Commercial Conditions of TFS agreed upon by the Client are complementary documents binding on the Parties.

Accepting the terms of the Agreement, the Client confirms his consent to apply the provisions set forth in the General and Commercial Conditions of TFS to the relations of the Parties.

General Conditions of TFS are these Conditions containing general rules for rendering services to the Client by TransContainer (rights and obligations of the Parties, procedure for processing and approving the Orders, procedure for settlements, responsibility of the Parties, etc.) being an integral part of the Agreement.

Commercial Conditions of TFS are conditions determined by TransContainer that govern the commercial relations of the Parties in Services rendering, supplementing and specifying obligations of the Parties with respect to the Services ordered; are an integral part of the Agreement.

Commercial conditions of TFS are subject to application to the relations of the Parties in the presence of an Order agreed by the Parties.

Order is the Client's order to TransContainer, submitted in electronic form, completed in accordance with the form and agreed in accordance with the procedure established by the General Conditions of TFS. The Order determines the list and conditions for Services rendering to the Client.

Services mean transport forwarding and other services associated with cargo transportation, except for cargo transportation in international traffic, as well as transportation from/to railway terminals in places of non-public use.

Cargo is a container loaded by the Consignor and sealed by him in the established order.

Consignor is the Client who presented the Cargo for transportation or another person indicated by the Client in the Order as the consignor. The consignor is a representative of the Client acting without a power of attorney on behalf of the Client or on his own account as designated by the Client.  

Consignee is the Client or his representative authorized to receive the Cargo.

In this case, individuals being representatives of the Consignee should confirm their powers of attorney in accordance with the procedure established by the Legislation.

Carrier is any entity or individual entrepreneur who undertakes, under the transportation agreement, the obligation to deliver the cargo entrusted to him from the point of departure to the point of destination, as well as to deliver the cargo to the person entitled to receive it (to the Consignee).

Container is transport equipment designed for transportation of container and piece cargo, which is a standardized structure in terms of maximum gross weight, overall dimensions, equipped with signs standardized in form, content, place of labelling and equipped with devices for fastening on various types of vehicles and mechanization of loading-unloading operations.

Terminal is an industrial and technological complex designed for operations related to the provision of the Services where the TransContainer's division or Representative operates.

Warehouse is a place of loading/unloading of cargo to/from the Container, agreed upon with TransContainer.

Legislation is the legislation of the Russian Federation.

The applicable law under the Agreement is the law of the Russian Federation.

Documents of the Carrier are the unified primary documents used by the Carrier, drawn up in the form approved by the Legislation and/or the Carrier and used by the Parties to certify the facts relevant for the Parties.

Personal account is a personal Client's section on TransContainer's website, in which the Client has the opportunity to: get acquainted with the list of Services provided by TransContainer via Internet, make Orders, receive notifications of prior approval of Orders, pay for Orders using VisaInternational or MasterCard payment cards (hereinafter a bank card), print out invoices for payment of Services, track the status of approval and execution of Orders, dislocation of the Cargo transported, view the archive of Orders.

TransContainer's website is the site where TransContainer posts information about the Services provided, as well as other information disclosed under the Legislation. Permanent address of TransContainer's website in the global computer network Internet: http://www.trcont.com/.

The basic terms and definitions given in this section of the General and Commercial Conditions of TFS are not applied for the purposes of tax and customs legislation.

2. RIGHTS AND OBLIGATIONS OF THE PARTIES

2.1. TransContainer shall:

2.1.1. Ensure timely and quality provision of the Services in accordance with the terms of the Agreement and the requirements of the Legislation.

2.1.2. Enter into necessary agreements with the companies involved in the transportation process, perform payment transactions for the Services rendered by them as designated by the Client.

2.1.3. Provide, upon the Client's request, the necessary information related to the Cargo transportation.

2.1.4. Make calculation and charging of payments for the Services.

2.1.5. Form, properly draw up and send a Certificate of the services rendered and an Invoice to the postal address specified by the Client in the Order.

2.1.6. Provide with technically serviceable Containers for Cargo transportation within the terms agreed upon in the Order.

Receipt/delivery of the Cargo from/to the Client is confirmed by the waybill.

2.1.7. Notify the Client of occurrence of the circumstances preventing from Services rendering or increasing their value, in accordance with the procedure provided for in this Agreement.

2.1.8. Duly fulfil other obligations arising from the terms of the Agreement and the requirements of the Legislation.

2.2. TransContainer shall have the right:

2.2.1. To stop the execution of the Order in the event of:

failure to provide or provision by the Client of the improper/improperly executed documents and information necessary for execution of obligations under the Agreement by TransContainer;

inconsistency of actual circumstances of transportation with the conditions agreed in the Order;

if the cargo is presented by the Client in an improper container (package);

if the cargo presented for transportation requires transportation conditions that TransContainer cannot provide, and this was not agreed by the Parties at the moment when the Order was agreed;

in other cases of the Agreement terms violation by the Client.

2.2.2. To deviate from the Client's instructions, if only it is necessary in his interests, and TransContainer, for reasons beyond its control, had no opportunity to request the Client in advance of his consent to such a deviation and/or to receive within 24 hours a response to its request in the manner provided for in the Agreement.

2.2.3. To involve third parties in Services rendering without the Client's consent.

2.2.4. Should any circumstances as provided for in the Legislation arise, to retain the cargo. In this case, the Client also pays for the costs associated with the retention and storage of the Cargo.

TransContainer shall not be liable for the damage caused to the cargo, due to its retention.

2.2.5. Should the cargo be not demanded during the storage period, to receive unilaterally compensation for the costs and losses associated with performance of this Agreement, by selling the cargo in extrajudicial procedure in accordance with the current legislation.

The maximum storage period, in any case, shall not exceed 90 (ninety) calendar days. Perishable cargo can be sold after 3 (three) days of storage.

2.3. The Client shall:

2.3.1. Provide TransContainer with the necessary information and duly executed documents, including transport, shipping and other documents for cargo, evidencing the special properties of the cargo, certificates of conformity (if the cargo is subject to certification), as well as other documents necessary for cargo transportation and public, sanitary and other types of control by the relevant authorities.

The Client ensures TransContainer that the cargo is authorized for transportation in the Container and the conditions for its transportation comply with the conditions of transportation offered by TransContainer.

2.3.2. Perform written and verbal instructions of TransContainer concerning issues related to Services rendering.

2.3.3. Pay for the Services taking into account the requirements of Section 4 of the General Conditions of TFS.

2.3.4. Provide Cargo for transportation within the terms agreed upon in the Order.

2.3.5. Provide Cargo for transportation in packaging that corresponds with the established standards, technical conditions for products and their packaging, ensuring the safety of traffic and vehicles operation, quality and safety of the cargo, wagons, vehicles, containers, fire and environmental safety along the way, as well as during transshipment.

Ensure timely loading of cargo into the Container, placement and securing of cargo in the Container, sealing of the Container at the place of loading, as well as timely receipt of the Cargo, unloading the cargo from the Container upon its arrival.

In case of cargo presentation for transportation of which the mass per one place exceeds 1.5 tons and the length - 6 meters, coordinate additionally (before the moment of submitting the Order) with TransContainer the possibility of providing such a cargo.

Load, place and fix cargo in Containers in accordance with the requirements of the Legislation, taking into account the load capacity of the Containers.

Comply with the requirements and rules established for loading and unloading operations, as well as the rules of conduct at the Terminal.

2.3.6. Ensure proper representatives' empowerment.

Be responsible for actions/omissions of the Consignor/Consignee and other persons involved, including for their compliance with the requirements of the Legislation and the terms of the Agreement. Inform the specified persons about the scope of their rights and obligations, the terms of the Agreement and the agreed Order.

Should it be necessary to provide the Services at the point of destination not ordered and not paid for by the Client, in the absence of the Consignee or his disagreement to enter into Agreement with TransContainer, pay for the Services, accept the Cargo, etc., the Client is obliged to pay for the Services rendered by TransContainer, to enter into a transport forwarding agreement, to place an order, to dispose of the Cargo, as well as to perform other necessary actions to complete the transportation and to discharge TransContainer wagon/container in accordance with the Legislation and the terms of the Agreement.

2.3.7. Use Containers provided by TransContainer for cargo transportation, as intended, in accordance with the terms and conditions specified by the Parties in the Order.

2.3.8. When receiving empty Containers, check for damage, as well as their commercial suitability; in case of receiving laden Containers - serviceability and compliance of the installed locking and sealing devices with the details specified in the shipping documents.

In case of damage to the Container, immediately notify TransContainer of any damage detected, draw up/ensure the drawing up of an appropriate act.

In case of provision of containers technically unsuitable for loading, the TransContainer's obligation for their provision is deemed not fulfilled until the serviceable Containers are provided.

After unloading the cargo from the Container, check the condition of the Container for damage and/or contamination.

If contamination is detected, clean the Container.

2.3.9. Return Containers timely, in good technical and commercial condition, cleared of the remnants of cargo, packaging and fixing materials.

2.3.10. Within 5 (five) calendar days from the date of receipt of Certificates of services rendered, sign and send them back to TransContainer or provide a reasoned refusal to sign them.

2.3.11. In the event of additional costs, accrual of penalties, except for cases of their occurrence by the fault of TransContainer, reimburse these additional costs and accrued penalties.

2.3.12. Within three calendar days, in writing, notify TransContainer of changes in the details of the Client (change of address, change of organizational and legal form, renaming, change of bank details, etc.). TransContainer is considered to be notified from the moment of receiving such notification in the Personal account.

2.3.13. Duly fulfil other obligations arising from the terms of the Agreement and the requirements of the Legislation.

2.4. The Client shall have the right:

2.1.4. To require TransContainer to properly perform the obligations assigned to it by the Agreement and Legislation.

2.4.2. To give written instructions to TransContainer concerning execution of the Orders and the terms of the Agreement.

2.4.3. To receive from TransContainer:

Preliminary calculation of the cost of the Services;

Information on the progress of the Order, as well as other information in the manner prescribed by the Agreement.

2.4.4. To terminate early the Agreement unilaterally. The termination of the Agreement will be the Client's refusal from transportation and cancellation of the Order.

2.4.5. To postpone the start date for the execution of the agreed Order for a period not exceeding 5 (five) working days.

Postponing is allowed once only and is possible provided that the necessary resources are available and the original cost of the Services ordered is preserved. The request to postpone the start date of the agreed Order is sent by the Client via e-mail to is-help@trcont.ru no later than 24 hours before 00:00 Moscow time of the scheduled start date for the execution of the Order.

2.5. The Parties undertake to fulfil the terms of the Agreement in good faith; if there are no provisions regulating relations of the Parties in the Agreement, to be guided by the Legislation, customs of business turnover.

2.6. Each of the Parties guarantees that, at the time of entering into Agreement, no liquidation or bankruptcy procedure is conducted with respect to it, its activities are not suspended by the relevant state authorities.

In case of occurrence of the specified circumstances during the term of the Agreement or other impediments to the proper performance of obligations under the Agreement, the Party shall within three days notify the other Party of the occurrence of such circumstances.

2.7. The Client gives his consent to the processing of personal data that is transferred by him to TransContainer within the framework of this Agreement.

2.8. The Client guarantees to TransContainer that he is not an affiliated person. In case of revealing the signs of affiliation entering into Agreement is possible only after carrying out all necessary corporate procedures in accordance with the Legislation.

3. PROCEDURE OF ENTERING INTO AGREEMENT

3.1. In order to agree upon specific terms by the Parties for the Services rendering within the framework of the Agreement and specifying the Client's instructions, the Parties execute an Order.

3.2. The Client draws up an Order by filling in the mandatory fields of the Order in the Personal account.

3.3. The Order is registered through the Personal Account in the information system of TransContainer with the assignment of a unique number and date.

3.4. The order is provided to TransContainer within a time period sufficient for TransContainer to agree upon the terms of transportation with organizations providing services related to cargo transportation.

3.5. The Order is processed by TransContainer in automatic mode taking into account the Client's needs and TransContainer's capabilities. In case there is no possibility to provide services on the day specified by the Client in the Order, TransContainer shall be entitled to offer the Client to provide the Services on another day.

In case the Client provides incomplete information necessary for Services rendering, and if there are other grounds that impede the coordination of the submitted Order, TransContainer informs the Client of the discovered shortcomings and the possibility of making appropriate changes and/or amendments to the Order. The Client may also send a letter to TransContainer regarding the possibility of adjusting the Order. The letter is drawn up by the Client and sent by e-mail to the address: is-help@trcont.ru. Adjustments may only concern those conditions that do not affect the cost and term of the provision of the Services (the Client's contact persons, their phones, consignor, consignee, provided that the address of loading/unloading is preserved).

3.6. After the Order is drawn up by the Client, subject to the requirements of these General Conditions, the Client is notified of the preliminary approval of the Order. Notification of the preliminary approval of the Order from the moment of its formation and sending to the Client is considered to be a proposal of TransContainer to enter into Agreement (an offer).

3.7. After submitting an Order, the Client chooses the form of payment for the Services: transfer of funds from the Client's bank account by a payment order or payment using a bank card in the Personal account.

When paying by a payment order, an invoice is sent to the Client via the Personal account to pay for the Services. The duplicate of the invoice for payment for the Services is also sent by e-mail to the address specified by the Client in the Order. With this form of payment, the reference to the account number and date is mandatory.

3.8. Payment for the Services shall be performed by the person or organization specified in the Order in the section "Client information".

3.9. Payment for TransContainer's Services shall be made no later than 2 (two) calendar days after the date of notification of the preliminary approval of the Order and no later than the terms set out in clause 4.4 of these General Conditions of TFS. In case of non-payment of the Order within the specified period, the Order is considered to be cancelled. The order is considered unpaid if the amount of payment is inconsistent with the amount indicated in the invoice.

3.10. Payment of the Service by the Client is considered as the Client's bill of acceptance. In case of payment for TransContainer's Services by a payment order, the Agreement shall be deemed entered into and the Client's Order accepted for execution from the moment of funds arrival to TransContainer's settlement account; in case of payment with a bank card - from the moment when TransContainer receives a bank message from the Internet payment system about the successful payment of the Order.

3.11. In case of circumstances preventing from proper Services execution, or other circumstances requiring modification and/or supplementation of the terms of Services rendering agreed upon in the Order, during Services rendering, TransContainer shall send a notice to the Client specifying these conditions. 

3.12. The Client's will at all stages of entering into this Agreement is expressed in the choice of the terms of the Order and confirmation of the agreement with the provisions of the General Conditions of the TFS in the User's Personal account on the site https://isales.trcont.ruand does not require confirmation by the signature on the hard copy.

4. COST OF SERVICES AND SETTLEMENT TERMS

4.1. The cost of the Services is determined by TransContainer and is indicated in the agreed Order.

4.2. If the services rendered are subject to imposition of VAT according to the law, the amount of VAT is calculated according to the current VAT rate and is fixed in the documents confirming the cost of services. 

4.3. Payment for the Services is made by the Client in full under the details specified by TransContainer.

The date of payment in case of payment for TransContainer's services by a payment order is the date of funds arrival to TransContainer's settlement account, in case of payment using a bank card, the date on which TransContainer receives the bank's message from the Internet payment system about the successful payment of the Order.

All bank charges connected with payments hereunder are made at the expense of the Party making the payment.

4.4. Settlements under the Agreement are made only in Russian rubles. The Client makes 100% advance payment for the Services no later than 2 (two) calendar days before the date of Container loading.

4.5. The amount of payment shall correspond strictly to the amount specified in the Order and the invoice. The invoice for payment of the Services, from the moment of its display in the Personal account, becomes available to the Client. The date of issue/receipt of the invoice is the date of creation of the invoice in the Client's Personal Account.

4.6. The Client, upon the relevant request and invoices by TransContainer, shall pay:

for the volume of Services that actually exceeded the agreed ones,

for extra Services that arose during the execution of the Order.  

4.7. Upon the Services rendering TransContainer shall, within 5 (five) calendar days, draw up a Certificate of the services rendered, attachments to it, an invoice and forward them to the Client. The Certificate of services rendered, signed by TransContainer, shall be sent in two copies to the Client at the postal address indicated by the Client in the Order.

Should the Certificate of services rendered signed by the Client (with attachments thereto) be not received from the Client by TransContainer for the accounting period within 5 (five) calendar days from the date of its sending to the Client, and in the absence of a written reasoned refusal of the Client to sign it, it shall be deemed as signed by the Client, and Services as rendered and accepted without any observations. The specified Certificate of the services rendered is accepted for reflection in the accounting of TransContainer.

4.8. In case of the Client’s refusal from TransContainer's services in whole or in part, the funds transferred on the TransContainer's account upon the Client’s written request shall be returned to him no later than 30 (thirty) days from the moment of submission of the request.

At the same time, the amount of expenses actually incurred by TransContainer is deducted from the returned amount.

5. LIABILITIES OF THE PARTIES

5.1. Parties are responsible in accordance with the Legislation.

5.2. The Party, which involved a third party to perform its obligations under this Agreement, is responsible before the other Party for any failure to perform the obligations by the third party as for its own actions.

5.3. In case the Client fails to fulfil his obligations under the Agreement, TransContainer shall be entitled to terminate the Agreement unilaterally (to refuse to execute the Agreement).

In case of termination of the Agreement by TransContainer through the Client's fault under the grounds specified in this Clause of the General Conditions, as well as in case of unilateral refusal of the Client to execute the Agreement, TransContainer shall be entitled to withhold funds from the amount transferred by the Client as payment for the Services in accordance with the Legislation, equal to the losses incurred by TransContainer caused by termination of the Agreement, and the fine equal to ten percent of the amount incurred by TransContainer.

5.4. TransContainer shall not be liable for any losses incurred:

due to poor-quality, inadequate or damaged packaging of the Cargo and failure to prepare the Container (equipment) for the transportation of the relevant Cargo;

due to non-compliance with the requirements of the Technical Conditions for the placement and fastening of the Cargo in Containers, other regulations;

due to provision by the Client of inadequate documents and/or information that does not correspond to reality, including those contained in the Order;

as well as in other cases provided for by the Legislation.

5.5. The Client refunds additional costs to TransContainer, except for cases when these costs arose due to the fault of TransContainer.

5.6. TransContainer is responsible for the loss, shortage or damage of the Cargo.

At the same time, TransContainer's liability is limited to the Carrier's liability, as defined by the Legislation or the terms of the sea bills of lading.

5.7. In case of damage of the Container fully or otherwise owned by TransContainer due to the fault of the Client, the Client shall indemnify TransContainer for losses, including costs that TransContainer incurred or shall incur for repair, transportation to repair facilities, costs associated with the evaluation/examination of the damaged Container.

5.8. In case of containers loss by the Client (including damage resulting in exclusion from the TransContainer's fleet), the Client shall, at the request of TransContainer, pay the market value of the container

5.9. Payments pursuant to the provisions of this section shall be made within 5 (five) banking days after the expiration of the period provided for in clause 7.3 of these General Conditions of TFS for consideration of the claim.

5.10. Payment of forfeits (fines, penalties) does not exempt the guilty Party from performing its obligations hereunder.

5.11. TransContainer shall consider all documents and information received from the Client in accordance with this Agreement as genuine and reliable.

TransContainer is not obliged to verify the authenticity of signatures and seals on the documents provided and to establish the eligibility of the signatories.

5.12. TransContainer shall not be liable to the Client and third parties, state authorities, etc. if it was provided with documents containing inaccurate information and/or documents signed by unauthorized persons for the purpose of causing economic damage to the Parties to the Agreement and/or to third parties, state bodies and TransContainer provided the execution of operations on the basis of such documents. TransContainer is also not liable to the Client and third parties, state authorities, etc., if the documents directly or indirectly related to the subject matter of this Agreement, were received and/or issued illegally by the Client and/or any other third party.

5.13. In case of Client's unilateral refusal from the Services in whole or in part, TransContainer shall be entitled to withhold from the funds returned to the Client previously transferred for the payment of the Service, and the Client shall pay a fine in the following amount:

3,000 (three thousand) rubles - if the cost of agreed, but not rendered Services is up to 50,000 rubles;

5,000 (five thousand) rubles - if the cost of agreed, but not rendered services ranges from 50,000 to 100,000 rubles;

10,000 (ten thousand) rubles - if the cost of agreed, but not rendered services is from 100,000 rubles.

The liability established by this clause of the General Conditions shall be applied in case of Services cancellation later than 12 hours Moscow time of the day preceding the date of beginning of the Order execution and does not apply to Clients-individuals.

6. FORCE-MAJEURE CIRCUMSTANCES

6.1. Neither of the Parties shall bear the responsibility for complete or partial non-fulfilment of its obligations under the Agreement provided such non-fulfilment is caused by force-majeure, extraordinary and unavoidable circumstances, including the actual and declared war, civil unrest, acts of terrorism, floods, fires, earthquakes, storms, difficult ice conditions in ports and other natural disasters, as well as publication of banning acts of state bodies.

6.2. Certificates or other documents issued by competent authorities and institutions will serve as a proper proof of the existence of the above circumstances.

6.3. Should the force-majeure circumstances arise, the period stipulated for fulfilment of the obligations by the Parties shall be extended for a period equal to that during which such circumstances will last.

6.4. The Party which encountered the circumstances preventing the fulfilment of its obligations shall immediately, but not later than in 2 (two) business days form the time of arising of such circumstances, notify the other Party about the commencement, possible duration and cessation of the force-majeure circumstances.

7. PROCEDURE OF DISPUTES SETTLEMENT[1]

7.1. All disputes arising within the performance of this Agreement shall be settled by means of negotiations. Should the Parties fail to reach an agreement through negotiations, all disputes shall be reviewed by the claim procedure.

7.2. Claims arising hereunder shall be filed not later than six months from the date of the occurrence of the circumstances that were the reason for their submission.

The claims shall be made in writing, signed by the authorized representatives of the claiming Party and sent to the other Party by registered mail with the acknowledgement of receipt together with the documents required.

7.3. Claim processing period is 30 (thirty) days from the date of the claim receipt. If the claim is admitted, the Party is obliged to fully fulfil the requirements stated in the claim within five days after the expiration of the period provided for by this paragraph for the consideration of the claim.

Admission of TransContainer's claim in addition to the written response is also the absence of the Client's objections within the established time limit.

7.4. In case the dispute is not settled by the Parties in a claim procedure, the dispute shall be submitted to the judicial authorities for consideration in accordance with the Legislation at the location of TransContainer's structural unit (branch or TransContainer administration), from the actions of which the dispute arises, unless otherwise stipulated by the Agreement.
